Grayrock Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Grayrock.asia and, where applicable, Grayrock products and services provided by Grayrock Capital Pte. Ltd.

By accessing or using applicable Grayrock services, you agree to these Terms.

1. About Grayrock

Grayrock Capital Pte. Ltd. is a Singapore company that develops and operates focused software products.

Grayrock products include Grayrock Money and Grayrock Trading Journal, together with other products that may be introduced from time to time.

2. Eligibility and Accounts

Certain Grayrock services may require an account.

You are responsible for:

• providing accurate account information;
• maintaining the confidentiality of your credentials;
• taking reasonable measures to secure your account; and
• notifying Grayrock if you reasonably believe your account has been compromised.

You must not knowingly allow another person to misuse your account.

3. Acceptable Use

You must not use Grayrock products or services to:

• violate applicable law;
• infringe another person’s rights;
• distribute malicious software;
• attempt unauthorised access to systems or accounts;
• interfere with the operation or security of Grayrock services;
• abuse, overload or intentionally disrupt Grayrock infrastructure;
• circumvent access or security controls; or
• use Grayrock services for fraudulent or unlawful purposes.

4. Grayrock Products

Features and functionality may vary between Grayrock products and subscription plans.

We may improve, modify, add or remove functionality as products evolve.

Where a material change significantly affects a paid service, Grayrock will take reasonable steps to communicate the change where appropriate.

5. User Data

You retain responsibility for information and content you enter, upload or import into Grayrock products.

You grant Grayrock the permissions reasonably necessary to process that information for the purpose of providing, maintaining, securing and improving the applicable service.

You represent that you have the rights or authority necessary to provide information you upload or import.

6. Intellectual Property

Grayrock’s websites, software, branding, interfaces, designs, documentation and other materials are protected by applicable intellectual-property laws.

Except for rights expressly granted to use a Grayrock product or service, no ownership rights are transferred to users.

Grayrock, Grayrock Money, Grayrock Trading Journal, associated branding and related product materials remain the property of Grayrock Capital Pte. Ltd. or their applicable rights holders.

7. Subscriptions and Payments

Certain Grayrock products may become available through paid subscription plans.

Specific pricing, billing periods, renewal terms, cancellation conditions and refund rules will be disclosed before a paid subscription is entered into.

A separate Subscription, Cancellation & Refund Policy may apply when paid subscriptions are launched.

8. Third-Party Services

Grayrock may rely on third-party services for infrastructure, authentication, payments, communications or other functionality.

Use of certain third-party services may also be subject to the applicable provider’s terms and policies.

9. Service Availability

We aim to provide reliable services but do not guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of maintenance, updates, technical problems, third-party service interruptions, security issues or circumstances outside Grayrock’s reasonable control.

10. No Professional Advice

Grayrock products provide software tools and information-management functionality.

Unless expressly stated otherwise, content or output provided through Grayrock does not constitute professional legal, tax, accounting, financial or investment advice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Grayrock will not be liable for indirect, incidental, special or consequential losses arising from use of or inability to use Grayrock products or services.

Nothing in these Terms excludes or restricts liability where such exclusion or restriction is prohibited by applicable law.

This qualification matters because Singapore law restricts certain liability exclusions and applies a reasonableness requirement in specified circumstances. AGC Singapore

12. Suspension and Termination

Grayrock may suspend or restrict access where reasonably necessary to:

• protect users or systems;
• investigate suspected misuse;
• address security risks;
• comply with legal requirements; or
• respond to material violations of these Terms.

Where reasonably practicable, appropriate notice may be provided.

13. Changes to These Terms

Grayrock may update these Terms as products, services or legal requirements evolve.

Material changes will be communicated where appropriate. The current version will be published on Grayrock.asia.

14. Governing Law

These Terms are governed by the laws of the Republic of Singapore.

Subject to applicable law, disputes relating to these Terms will be subject to the jurisdiction of the courts of Singapore.
